1. Acceptance of Terms

By subscribing to Cleaner 360 services, you ("Client") agree to be bound by these Terms of Use. If you do not agree to any part of these terms, you may not use our services.

2. Description of Services

Cleaner 360 provides a "White-Label" platform for cleaning businesses, operating under a Software as a Service (SaaS) model. Our services are divided into two stages:

• Setup Fee (Initial Configuration): A one-time service for customizing, configuring, and implementing the platform with the Client's visual identity.
• Maintenance & Hosting Fee (Monthly Subscription): An ongoing service that includes secure server hosting, technical maintenance, security updates, backups, and domain renewal.

3. Intellectual Property and License

3.1. Cleaner 360 Ownership: All source code, structural design, databases, features, and underlying technology of the platform are the exclusive property of Cleaner 360. Subscribing to the services does NOT transfer ownership of the code to the Client under any circumstances.

3.2. License to Use: Cleaner 360 grants the Client a limited, non-exclusive, non-transferable, and revocable license to use the platform as long as the Monthly Subscription is active and paid.

3.3. Prohibitions: It is strictly prohibited to copy, modify, distribute, sell, reverse engineer, or attempt to extract the platform's source code. The Client may not download the platform to host on another server.

4. Domains and Digital Property

4.1. Domain Registration: As part of the service, Cleaner 360 may register a domain (e.g., yourcompany.com) on behalf of the Client. However, for technical management and security purposes, the domain will remain under the administrative and technical custody of Cleaner 360 during the contract term.

4.2. Renewal: Cleaner 360 will be responsible for the annual domain renewal as long as the Client keeps the Monthly Subscription current.

5. Payments and Cancellation

5.1. Setup Fee: The Setup fee covers the configuration and customization service already performed and is therefore non-refundable after the service provision has commenced.

5.2. Monthly Fee: The monthly fee ensures service continuity (hosting, support, and maintenance). Failure to pay the monthly fee will result in temporary suspension and subsequently cancellation of the service.

5.3. Cancellation: The Client may cancel the service at any time, without penalty. Upon cancellation, access to the platform will be revoked, and data may be deleted after 30 days.

6. Liability and Limitations

Cleaner 360 provides the platform "as is". We are not responsible for the Client's business, profits, or relationships with their own end customers. The financial and operational management of the cleaning business is the sole responsibility of the Client.

7. Data Protection (GDPR/LGPD)

Both parties agree to comply with applicable data protection laws (GDPR in UK/Europe, LGPD in Brazil). Cleaner 360 acts as a "Data Processor" for the Client's end-customer data, processing it only to provide the contracted service.
